Specializing in securities

Initiatives as

financial analysis,
particularly in the field of
- foreign joint
ventures.
- Became a
General Contractor
and builder shortly after
- graduation and
built homes,
churches, apartment houses,
- commercial
buildings and several
hospitals including
- Parkchester
General Hospital
in the Bronx, NYC. Syndicated
- own apartment
houses.
- Subsequently
formed First Investors
Realty whose
- accomplishments
included the
packaging of land and/or
- buildings for
the fulfillment
of requirements of corporate
- clients such
as Pan American
World Airways. Responsibility
- included
securing all off site
facilities at Kennedy Airport
- for the
support of 747 airplanes
used by Pan American World
- Airways prior
to having their
own terminal in operation.
- In 1970, was
employed as Director
of Real Estate by The
- New England
Industries, Inc.,
a national conglomerate
- occupying
three floors at 120
Wall Street, in NYC. This was
- a private
company whose principal
also controlled the
- publicly owned
Lehigh Valley
Corporation. The actual job
- was a
financial troubleshooter
in handling among others,
- orange groves
in Florida, mobile
home park developments in
- Nevada and
Arizona, mobile home
manufacturing plants in
- California,
and various real
estate projects in New York
- State.
- Subsequently
became a Vice President
of Corporate
- Development
for the D. H. Overmeyer
Co. which at that time
- was the
largest owner of warehousing
space in the country.
- Eventually,
decided to be self
employed and was appointed
- special
counsel to the Investment
Division of Republic
- National Life
Insurance Company
located in Dallas, Texas,
- during the
period in which they
were under trusteeship of
- the State of
Texas Insurance
Department. The Company was
- the fastest
growing life insurance
company in Texas. The
- work entailed
being a workout
specialist and curing title
- defects on
earlier land acquisitions.
- Continued in
private practice
which was predominantly in the
- field of
securities offerings,
including private placements
- and tax
shelters. Currently
specializing in private
- placement
offerings, small public
offerings and the securing
- of financing
for small and medium
size expanding companies.
- We have done
and are currently
doing small public offerings
- in accordance
with the "small
business initiatives" by the
- SEC, as well
as private placements
for the acquisition of
- funds to be
applied for corporate
or business expansion. We
- also have a
large database comprising
most funding and
- investing
organizations nationwide,
as well as a national
- corporate
database used to secure
investment partners and
- Broker/Dealers.
- The "small
business initiatives"
allow companies raising up
- to $5,000,000
to be exempt from
registration, thereby
- incurring
relatively little
cost to make an offering. Those
- companies
using audited statements
may be registered and
- there is no
limit on equity
to be raised when using Form
- SB-2. Another
method used today
is PIPES which stands for
- Private
Investment in Public
Equity Securities.
- We use desktop
publishing to
create camera ready copy of the
- Offering
Circular and when applicable,
do the financial
- analysis to be
included therein.
